These Terms of Service (the “Terms”) set out the conditions for using SEOAGENT, including its Chrome extension (the “Service”), provided by RILARC Inc. (“we”, “us”). They apply to every customer who uses the Service (“you”).

1. Application

These Terms apply to all matters concerning use of the Service between you and us. Individual conditions we present in the Service or in product information form part of these Terms and prevail if they differ.

2. Registration

A contract is formed when you apply by our designated method after agreeing to these Terms and we accept the application. We may decline an application that contains false information, from someone who has previously violated these Terms, or that we otherwise consider inappropriate.

3. Account management

You are responsible for managing your account, password, connection codes and API keys, and must not let third parties use them or transfer or lend them. Use by a third party is deemed to be your use unless caused by our intent or gross negligence.

4. Fees and payment

  1. You pay the fee for your selected plan by our designated method (credit card, in advance).
  2. Fees are as shown on the application page and in the product information.
  3. Due to the nature of digital services, we do not provide refunds once the service has started. See “Cancellation & Refunds”.

5. External services

  1. The Service connects with external services such as WordPress, note, Google (Search Console, Google Analytics, Google Ads), generative AI APIs and Ahrefs. Their own terms, fees and conditions apply.
  2. You bear the fees for external services you use under your own contracts or API keys.
  3. We are not liable when part of the Service is unavailable due to changes, suspension or failures of external services, except where attributable to us.

6. Your responsibility and generated content

  1. Text, images and suggestions produced by the Service (“Generated Content”) include AI suggestions. You are responsible for checking Generated Content — including facts, sources, rights and legal compliance — before publishing or using it.
  2. You decide whether to publish Generated Content and which suggestions to adopt, and you are responsible for resolving any dispute with third parties about what you publish.
  3. Materials, photos and text you register must be ones you hold the necessary rights to, or have permission from the rights holder to use.

7. Rights

  1. Rights to information you register and to Generated Content belong to you or the rightful owner. We use them only as needed to provide and improve the Service.
  2. Rights to the Service (including software, screens, documentation and trademarks) belong to us or the rightful owner.

8. Prohibited conduct

  • Conduct that violates laws or public order, or relates to crime
  • Infringing copyrights, trademarks, portrait rights, privacy or other rights of third parties
  • Creating or distributing false or misleading information, or impersonating others
  • Using the Service in ways that violate the terms or guidelines of search engines or external services (including mass generation and publication of low-quality content)
  • Placing excessive load on servers or networks, unauthorized access, or reverse engineering
  • Transferring, lending or sharing accounts (except sharing through team features we provide)
  • Any other conduct we consider inappropriate

9. Changes and interruptions

We may change or interrupt all or part of the Service without notice for maintenance, failures, circumstances of external services or other unavoidable reasons. We will give advance notice of changes with significant impact, such as discontinuing major features.

10. Suspension and termination

If you violate these Terms, fail to pay fees, or we otherwise consider your use inappropriate, we may suspend your use or terminate the contract without notice.

11. Cancellation

You can cancel at any time using our cancellation form. You can keep using the Service until the end of the period you have already paid for.

12. No guarantee

We do not guarantee any specific result from the Service, such as higher search rankings, citation or inclusion in AI search, or increases in traffic or inquiries, nor the accuracy, completeness or usefulness of Generated Content.

13. Limitation of liability

If we are liable to you for damages in connection with the Service, except in cases of our intent or gross negligence, our liability is limited to ordinary damages actually incurred and capped at the fees you paid us in the month before the event giving rise to the damages. Where the Consumer Contract Act or other laws do not allow this limitation, those laws apply.

14. Personal information

We handle your personal information in accordance with our Privacy Policy.

15. Changes to these Terms

We may change these Terms in response to changes in laws, the Service or other needs. We will announce the changes and their effective date in advance on the Website or in the Service. Using the Service on or after the effective date constitutes agreement to the revised Terms.

16. Governing law and jurisdiction

These Terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction in the first instance over disputes concerning the Service.
